Terms of Service

Cell-First Clinical Analysis™ (the "Service") is professional decision-support software. It organizes practitioner-entered clinical information — intake, symptoms, medications, supplements, and laboratory results — into functional and cellular physiology analysis, pattern reasoning, prioritization, and reports.

The Service is owned and operated by Kelly Brink LLC ("we," "us," or the "Company"). Cell-First Clinical Analysis™ is a product of Kelly Brink LLC.

The Service does not diagnose, treat, cure, or prevent disease, is not a medical device, and does not establish a practitioner-patient relationship. Every output requires independent professional review. See the Clinical Disclaimer.

• The Service is offered to licensed or credentialed healthcare practitioners and to organizations employing them, acting within their scope of practice.
• Account holders must be at least eighteen years of age and must provide accurate registration information.
• Account credentials are personal. Sharing a single practitioner account among multiple clinicians is prohibited; Clinic plans provide separate practitioner seats for that purpose.
• Account holders are responsible for all activity occurring under their credentials and must report any suspected unauthorized access promptly.

The practitioner is solely responsible for clinical judgment, for the accuracy and completeness of information entered, for verifying any calculated value or interpretation before relying on it, and for all patient-care decisions. The Service surfaces patterns, hypotheses, and priorities for consideration; it does not issue clinical orders and does not replace the practitioner's assessment.

The Service never instructs a patient or practitioner to discontinue a prescription medication. Where a medication or supplement interaction is flagged, the Service directs the matter to discussion with the prescribing clinician.

The Service is designed to operate without patient identifiers. Each case is identified only by a system-generated Case ID together with age and biological sex.

Do not enter patient names, dates of birth, medical record numbers, addresses, telephone numbers, email addresses, insurance identifiers, facial images, identifiable laboratory reports, or any other protected health information into any field, upload, or support request. Entering identifiers is a breach of these terms, and the account holder remains responsible for any information they choose to submit.

• Free Demo access provides the complete workflow on a fictional demonstration case and consumes no case credits.
• A Single Case purchase grants one live case credit and does not create a subscription.
• Subscription plans grant a stated allotment of new live cases each billing period. Allotments refresh at renewal and unused case credits do not carry over unless expressly stated on the plan.
• Additional cases may be purchased at the per-case price stated for the plan.
• Subscription fees are billed in advance on a recurring basis through the payment processor until canceled.
• A live case credit is spent when a live case is created. A credit is not spent by opening the demonstration case, by browsing, or by a case creation that fails.

Prices are stated in United States dollars and exclude taxes unless indicated. Pricing may change on notice; a change takes effect at the next renewal.

• A subscription may be canceled at any time from the billing area. Cancellation takes effect at the end of the current billing period, and access continues until then.
• Fees already paid are non-refundable except where required by law or expressly agreed in writing.
• Case credits have no cash value, are not transferable, and are forfeited on account termination.
• Non-payment may place an account into a read-only state in which existing cases remain viewable but new live cases cannot be created.

Account holders must not:

• Use the Service to provide care outside their professional scope of practice or licensure.
• Present Service output to a patient or third party as an independent diagnosis or as a substitute for clinical judgment.
• Copy, resell, sublicense, or provide the Service to third parties other than as permitted by the purchased plan.
• Reverse engineer, scrape, or attempt to extract the clinical rules, engines, or reference library except as permitted by law.
• Interfere with the security or integrity of the Service, or attempt to access another account's cases or records.
• Upload malicious code or unlawful content.

The Service, including its clinical rules, reasoning engines, reference library, interface, and the Cell-First Clinical Analysis™ name and marks, remains the property of the provider and its licensors. Clinical information entered by the practitioner remains the practitioner's; a limited license to host and process that information is granted to the provider solely to operate the Service.

The Service is provided on a continuing but not uninterrupted basis. Maintenance, updates, changes to clinical rules and reference content, and occasional downtime are expected. Features may be added, modified, or withdrawn. Material changes affecting paid entitlements will be communicated to affected account holders.

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. No warranty is given that any analysis, calculation, pattern, or priority produced by the Service is correct, complete, or clinically appropriate for a given patient.

To the fullest extent permitted by law, the provider is not liable for indirect, incidental, special, consequential, or exemplary damages, nor for lost profits, lost data, or clinical outcomes arising from use of or reliance on the Service. Aggregate liability for any claim is limited to the amount paid for the Service in the twelve months preceding the event giving rise to the claim.

The account holder agrees to indemnify and hold harmless the provider from claims, losses, and expenses arising from their use of the Service, from clinical decisions made in connection with it, and from any protected health information they enter in breach of these terms.

Access may be suspended or terminated for breach of these terms, for non-payment, or where continued use presents a legal or safety risk. On termination, the right to use the Service ends immediately; provisions concerning responsibility, intellectual property, warranties, liability, and indemnity survive.

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. These terms may be updated from time to time; the effective date above reflects the current version, and continued use after an update constitutes acceptance.
